The Privilege Problem in LegalTech AI

Legal documents contain some of the most sensitive personal data possible — client identities, litigation strategy, financial details, health records, family matters. When lawyers use AI assistants for document review, they risk transmitting privileged client communications to third-party AI providers.

Indian legal privilege (attorney-client privilege) under the Indian Evidence Act protects confidential communications between lawyer and client. Sending privileged documents to an LLM API may constitute a waiver of privilege — a severe professional consequence that goes beyond DPDP compliance.

Safe LegalTech AI Architecture

For contract review AI: extract the specific clause types needed for analysis (payment terms, IP ownership, termination rights) without sending full contract with client names and specific commercial terms to the LLM. Redact party names, monetary figures, and specific dates before LLM processing — the AI can still analyse clause language and flag risks without knowing the specific parties.

For legal research AI: research queries that reference specific client facts should be abstracted. Instead of 'can my client Rahul Sharma avoid penalty for late GST filing due to system downtime at GSTN?', submit 'what are the grounds for penalty waiver for late GST filing due to technical issues at the GST portal?'.

Industry operational checklist

The minimum checklist is a data inventory, a stated processing purpose, owner approval, PII detection at the AI boundary, redaction or tokenisation where possible, retention limits, vendor transfer records, and a tested user-rights workflow. This checklist gives engineering and compliance teams a shared language for deciding what must be blocked, what can be allowed in shadow mode, and what needs human review before production release.

For AI systems, the review should include prompts, retrieved context, tool call arguments, model responses, logs, traces, analytics events, exports, and support attachments. Many incidents happen because teams scan only the visible form field while sensitive data moves through background context or observability tooling.
